Consulting agreements for clear business relationships
A consulting agreement governs the relationship between a client and an independent consultant. It should clearly define the services, compensation, responsibilities, and what happens if the engagement changes or ends. Our lawyers draft and review consulting agreements tailored to the services, commercial objectives, and risks involved.

What is a consulting agreement?

A consulting agreement is used when an individual consultant or consulting firm is engaged for a specific project or an ongoing assignment. The consultant normally operates as an independent contractor rather than as the client’s employee.
The agreement establishes the rules for the engagement. It defines what the consultant must deliver, the authority the consultant has, and what the client must provide for the work to be completed.
A written agreement also provides evidence of the parties’ intentions if a dispute arises over the services, fees, deliverables, or termination.
What should a consulting agreement include?
The terms should reflect the scope and risks of the engagement. A consulting agreement should generally address:
- the parties’ names, registration details, and contact information
- the scope, objectives, and requirements of the services
- the schedule, milestones, and deliverables
- fees, invoicing, and payment terms
- each party’s responsibilities and designated contacts
- the use of subcontractors
- confidentiality and proprietary information
- ownership and permitted use of deliverables
- the processing of personal data
- liability for defects, delays, and losses
- insurance and limitations of liability
- the term, notice period, and termination rights
- governing law and dispute resolution.
Schedules may be used to describe the services, prices, timeline, or security requirements in greater detail. The agreement should establish which document controls if the main agreement and a schedule conflict.
Notice periods and termination
Swedish law does not establish a single notice period for every consulting agreement. The parties should therefore state how long the agreement will remain in effect and how either party may terminate it.
An agreement with no fixed end date should include a notice period and explain how notice must be given. A fixed-term agreement generally continues until its stated end date unless the parties include a right to terminate it early.
The agreement should also explain what happens when the engagement ends, including the treatment of unfinished work, materials, payments, access rights, and confidential information. It should identify the circumstances in which a serious breach permits immediate termination.
Fees and changes to the services
The consultant may charge a fixed fee, an hourly rate, a milestone-based fee, or a combination of these methods. The agreement should state what the fee includes, when invoices may be issued, and whether expenses such as travel or third-party services are reimbursed separately.
A clear change-order process is also useful. If the client requests services outside the original scope, the parties should determine how the change affects the price and schedule before the additional work begins.
Confidentiality and ownership of deliverables
A consultant may receive access to business plans, customer data, technical information, and trade secrets. The agreement should define confidential information, restrict how it may be used, and state how long the confidentiality obligations continue.
The agreement should also establish who may own and use reports, software, designs, written materials, methods, and other deliverables. Paying for the consultant’s work does not necessarily transfer every intellectual property right to the client.
If the consultant processes personal data on the client’s behalf, the parties may also need a separate data processing agreement under the GDPR.
Independent contractor or employee?
Describing someone as a consultant does not determine their legal status. The assessment depends on how the working relationship is organized and carried out in practice.
Employment and tax issues may arise if the individual works under conditions that resemble employment. The agreement and the actual working arrangement should be consistent regarding the consultant’s independence, responsibilities, working methods, and ability to accept other clients.
For work performed in Sweden, the client should also consider the consultant’s F-tax status. If the consultant is not approved for F-tax, the client may have obligations relating to tax deductions and employer contributions.
When to involve a lawyer
Legal assistance is particularly valuable when the engagement has a high financial value, continues for an extended period, or involves sensitive information, personal data, or valuable intellectual property.
A lawyer can also help when the parties need to negotiate liability caps, restrictive covenants, ownership provisions, or specific termination rights.

FAQ
Frequently asked questions about consulting agreement
A consultant generally performs services as an independent contractor, while an employee is more closely integrated into the employer’s business. The actual working relationship is more significant than the title of the agreement.
The notice period primarily depends on the agreement. The parties should state whether the agreement is fixed-term or ongoing, how much notice is required, and whether early termination is permitted.
Ownership depends on the type of work and the agreement. The contract should expressly address intellectual property rights and permitted use of software, designs, reports, written materials, and other deliverables.
It may be required if the consultant processes personal data on the client’s behalf. The parties’ roles and control over the purposes and methods of processing determine whether such an agreement is needed.
